1. About Us

Ref-Sol Ltd (“Ref-Sol”, “we”, “us”, “our”) supplies commercial refrigeration equipment and related services to business customers.

2. Scope of Services

2.1 Ref-Sol provides:

  • Supply of refrigeration and associated equipment
  • Installation (where agreed)
  • Servicing, maintenance, and repair

2.2 Goods may be supplied directly from manufacturers or distributors, including TEFCOLD.

2.3 We reserve the right to subcontract or use third-party suppliers where necessary.

3. Orders and Acceptance

3.1 Quotes are valid for the period stated.

3.2 A contract is formed only when Ref-Sol Ltd confirms acceptance of an order in writing and either dispatches the Goods, commences the Services, or otherwise expressly accepts the order.

3.3 Receipt of an enquiry, quotation, order acknowledgement, payment confirmation, invoice, automated email, or any other communication from Ref-Sol Ltd does not constitute acceptance of an order or create a binding contract.

3.4 Orders cannot be cancelled without our written agreement.

3.5 Ref-Sol Ltd reserves the right, at its sole discretion, to refuse, reject, suspend, or cancel any order prior to acceptance for any legitimate business reason, including but not limited to product availability, supplier restrictions, pricing errors, technical errors, or suspected fraud.

4. Pricing and Payment

4.1 All prices are exclusive of VAT unless stated otherwise.

4.2 Payment terms will be outlined on the quotation or invoice.

4.3 We reserve the right to:

  • Request payment in advance (pro forma);
  • Suspend work or supply if payment is overdue.

4.4 Late payments may incur interest in line with applicable UK legislation.

4.5 While Ref-Sol Ltd makes reasonable efforts to ensure that all prices, specifications, product descriptions, availability information, discounts, promotions, and related details are accurate, errors may occasionally occur.

4.6 If a product, service, delivery charge, discount, promotion, tax calculation, or any other pricing information is displayed, communicated, quoted, or invoiced incorrectly due to a typographical error, technical malfunction, software error, supplier error, human error, system failure, or any other cause, Ref-Sol Ltd reserves the right, at its sole discretion, to refuse, reject, cancel, or terminate the affected order at any time before delivery.

4.7 Where payment has already been received for an order affected by a pricing or information error, Ref-Sol Ltd may cancel the order and issue a refund of the amount paid. Such refund shall constitute the Customer’s sole remedy in respect of the cancellation.

4.8 Ref-Sol Ltd shall not be liable for any indirect, consequential, incidental, special, or economic loss arising from any pricing error, product information error, correction of an error, or cancellation of an order resulting from such error, including but not limited to loss of profit, loss of revenue, loss of opportunity, business interruption, or increased procurement costs.

4.9 By placing an order, the Customer acknowledges and agrees that obvious, manifest, or significant pricing errors shall not be binding on Ref-Sol Ltd and may result in cancellation of the order and refund of any monies paid.

4.10 Ref-Sol Ltd reserves the right to correct any pricing, product information, specifications, availability details, discounts, promotions, or other inaccuracies at any time without prior notice.

5. Delivery

5.1 Goods are typically delivered directly from our suppliers to the Customer.

5.2 Delivery dates are estimates and not guaranteed.

5.3 The Customer is responsible for:

  • Providing correct delivery details
  • Ensuring access and unloading facilities

5.4 Risk in the Goods passes to the Customer upon delivery.

6. Installation (Online Orders via Ref-Sol Website)

6.1 This clause applies only to Goods purchased via the Ref-Sol Ltd website (ref-sol.co.uk).

6.2 Ref-Sol Ltd supplies Goods on a supply-only basis for all online orders and does not provide installation services as part of these purchases unless explicitly agreed in writing.

6.3 Where installation is arranged by the Customer or carried out by a third party (including any contractor recommended by Ref-Sol Ltd), Ref-Sol Ltd shall not be responsible for:

  • The installation of the Goods
  • The quality, safety, or compliance of installation works
  • Any faults, damage, or performance issues arising from installation

6.4 The Customer is solely responsible for ensuring that:

  • Installation is carried out by a suitably qualified and competent contractor
  • All relevant regulations and standards are complied with
  • The installation environment is suitable for the Goods supplied

6.5 Ref-Sol Ltd shall not be liable for:

  • Any loss or damage caused by incorrect or incomplete installation
  • Failure of the Goods due to improper installation
  • Any associated costs, including removal, reinstallation, or business interruption

6.6 Any advice or recommendations provided by Ref-Sol Ltd regarding installation are given in good faith but without liability.

6.7 Manufacturer warranties (including those provided by TEFCOLD) may be invalidated if installation is not carried out in accordance with manufacturer guidelines.

6.8 Any third-party installers recommended by Ref-Sol Ltd are independent contractors, and Ref-Sol Ltd accepts no liability for their work.

7. Customer Responsibilities

The Customer agrees to:

  • Use Goods in accordance with manufacturer guidelines
  • Maintain equipment appropriately
  • Provide safe working conditions for our staff or contractors

8. Warranty

8.1 Goods may be covered by manufacturer warranties (e.g. TEFCOLD).

8.2 Warranty claims must:

  • Be reported promptly
  • Include proof of purchase and product details

8.3 Warranty does not cover:

  • Misuse or incorrect installation
  • Lack of maintenance
  • General wear and tear

9. Limitation of Liability

9.1 Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation

9.2 Subject to this:

  • Ref-Sol’s liability is limited to the value of the Goods or Services supplied
  • We are not liable for indirect or consequential losses (e.g. loss of profit, downtime, or business interruption)

10. Retention of Title

10.1 Goods remain the property of Ref-Sol Ltd until paid in full.

10.2 Until ownership passes, the Customer must not:

  • Resell or modify Goods without consent
  • Remove or alter identifying marks

11. Returns and Cancellations

11.1 Returns must be authorised by Ref-Sol Ltd in advance.

11.2 Restocking charges may apply.

11.3 Custom or special-order items are non-returnable unless faulty.

12. Force Majeure

Ref-Sol Ltd is not liable for delays or failure to perform due to events beyond our control, including:

  • Supply chain disruption
  • Transport issues
  • Industrial action
  • Extreme weather

13. Intellectual Property

All documentation, specifications, and materials provided remain the property of Ref-Sol Ltd and may not be reused without permission.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the jurisdiction of the English courts.

15. Updates

We reserve the right to update these Terms of Service at any time. The latest version will always apply to new orders.
